Terms of Service

These Terms of Service govern your use of SyteStudio's services. By purchasing or using our services, you agree to these terms. Our services are currently available to clients located in the United States only.
Services Provided
SyteStudio offers the following one-time, project-based services: Shopify Store Setup, Shopify Product Listing & Optimization, Conversion Shorts Service, and the Shopify + Conversion Shorts Package.
Shopify Store Setup includes store configuration, theme installation and customization, payment and shipping setup, navigation setup, SEO foundation, and up to 10 product listings. Shopify Product Listing & Optimization includes product upload, title and description optimization, image ALT text, tagging, and collection organization for the agreed number of listings. Conversion Shorts Service includes product research, script planning, video editing, and delivery of short-form vertical videos for the agreed number of videos. The Shopify + Conversion Shorts Package includes the Shopify Store Setup service combined with the Conversion Shorts Service.
Additional product listings or videos beyond what is included in a package are available at a per-item rate, which varies based on scope of work. Pricing will be confirmed before any additional work begins.
Payment and Pricing
All prices are listed on our website and are subject to change at any time without notice. The price confirmed at the time of purchase will be honored. All payments are processed securely through Stripe. Full payment is required before work begins.
Delivery
Shopify store setup is typically completed within 5 business days after all required information and access are received. Product listing and optimization services are typically completed within 3 to 5 business days after access and required details are provided. Conversion shorts are typically completed within 1 to 5 or more business days, depending on the scope of research and the number of videos requested.
Delivery timelines are estimates and may vary depending on client responsiveness and the completeness of information provided. If a client is unresponsive for 7 or more business days after we have requested required information, the project may be paused and timelines extended accordingly. SyteStudio is not responsible for delays caused by the client's failure to provide required materials or access in a timely manner.
Client Responsibilities
By using our services, you agree to provide accurate product information, images, video footage, and store details; supply all required access for store setup and optimization; respond promptly to communications to avoid delays; confirm that you have the rights to all content, images, footage, and materials provided; and maintain the security of your store accounts and access credentials. SyteStudio is not responsible for any unauthorized access, data loss, or damages resulting from compromised client accounts or credentials.
Intellectual Property
Upon receipt of full payment and project completion, the client owns all deliverables created specifically for their project, including product listings, descriptions, customizations, and video content. SyteStudio retains no ownership over client store content or delivered videos once payment is complete.
SyteStudio retains ownership of any proprietary processes, templates, or methodologies used in delivering services. The client is granted a non-exclusive right to use any such materials as part of their store or marketing.
Unless the client requests otherwise in writing, SyteStudio may use anonymized or generalized examples of completed work, including video content, for portfolio or marketing purposes.
The client is solely responsible for ensuring they hold the rights to all content, images, footage, trademarks, and materials provided to SyteStudio for use in their store or videos. SyteStudio assumes no liability for intellectual property infringement arising from client-provided materials.
Revisions and Scope
Each service includes a defined scope of work as outlined at the time of purchase. Requests that fall outside the original scope may be treated as additional work and billed separately. This policy does not obligate SyteStudio to provide unlimited revisions unless explicitly agreed to in writing prior to project start.
Refunds and Cancellations
A full refund is available if cancellation is requested before work has begun. All sales are final once work has begun. No refunds, partial or otherwise, will be issued after work has started. We do not guarantee sales, revenue, video performance, or business outcomes of any kind.
Chargebacks and Payment Disputes
Initiating a chargeback or payment dispute without first contacting SyteStudio to resolve the issue directly is a breach of these Terms. SyteStudio reserves the right to dispute any chargeback with supporting documentation, including proof of work completed and communication records, and to pursue any amounts owed through appropriate means.
Limitation of Liability
SyteStudio's total liability to the client for any claim arising from our services shall not exceed the total amount paid by the client for the specific service in question.
We are not responsible for business outcomes, profits, or losses. Our responsibility is limited to the services explicitly described at the time of purchase. We are not liable for changes, updates, or actions taken by third-party platforms such as Shopify, Stripe, TikTok, Instagram, or YouTube. Platform fees, hosting costs, and third-party charges are the responsibility of the client and are billed directly by the respective providers.
In no event shall SyteStudio be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, loss of data, or loss of business opportunity, even if advised of the possibility of such damages.
Dispute Resolution
In the event of a dispute arising from these Terms or our services, both parties agree to first attempt to resolve the matter through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in the state of California, and judgment on the award may be entered in any court of competent jurisdiction.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction where necessary to prevent irreparable harm.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Changes to These Terms
SyteStudio reserves the right to update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
